1. Call to Order & Bylaws Review
The meeting was called to order to formally review and establish the corporate bylaws for the newly formed entity.
The legal name of the entity was confirmed as Anywhere Connection Corporation (ACC).
2. Share Allocation and Equity Structure
The company will issue a total of 1,000 shares.
The initial equity division among the three primary founders was agreed upon as follows:
Hilmi: 30% (300 shares)
Digi: 30% (300 shares)
Whirl: 30% (300 shares)
The remaining 10% (100 shares) will be allocated for vesting agreements split equally between two contributors:
Legi: 5% (50 shares), subject to vesting.
Zeyyad: 5% (50 shares), subject to vesting.
3. Vesting Agreements & Milestones
To secure their respective 5% equity allocations, Legi and Zeyyad must meet specific milestones during the vesting period running from July 10, 2026, to December 31, 2026.
Legi’s Milestones (Community/Moderation):
Moderator Team Setup: Establish and organize the game's moderator team.
Game Rules Configuration: Formulate and set up the official game rules.
Zeyyad’s Milestones (Web Development):
Minimum Hours: Commit to a minimum of 5 hours of web development work per week.
Account System: Finalize and implement the website's user account systems.
Developer Update Interface: Create a system on the website allowing developers to post game updates directly without modifying the source code.
4. Transfer of Intellectual Property (IP)
The founders agreed to transfer all intellectual property rights for the projects Heredita and Rollplayer to Anywhere Connection Corporation (ACC).
A formal IP assignment document was drafted and signed by the founders to legally execute this transfer.
5. Board of Directors & Officer Appointments
Pursuant to the bylaws, the initial Board of Directors and corporate officers were officially appointed:

The Board of Directors will consist of three members: Hilmi, Digi, and Whirl.
Director elections will be held every year during the annual shareholder meeting. The next scheduled election is set for July 10, 2027.
Officer Titles:
Hilmi: CEO, President, Treasurer, Director, Board Member
Digi: Vice President, Director, Board Member
Whirl: Chief Technology Officer (CTO), Secretary, Incorporator, Director, Board Member
6. Project Status & Next Steps
Zeyyad's website updates will include changing the copyright/branding on the Heredita website to reflect Anywhere Connection Corporation.
The primary upcoming objective is to draft and finalize the project's business plan and revenue model.
